1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and BattleBridge, LLC, doing business as USR Engage ("USR Engage," "we," "us," or "our"), governing your access to and use of the USR Engage platform, website at usrengage.com, and all related services (collectively, the "Service").

By creating an account, subscribing to a plan, or using any part of the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

2. Description of Service

USR Engage is an AI-powered marketing platform designed for senior living communities, including assisted living, memory care, independent living, and continuing care retirement communities (CCRCs). The Service includes, depending on your subscription tier:

AI Voice Agent -- Automated phone call handling, lead qualification, and tour booking for your community
AI Chat Widget -- Website chatbot for visitor inquiries, lead capture, and automated responses
Email Automation -- Drip campaigns, follow-up sequences, and nurture workflows
CRM and Lead Scoring -- Contact management, lead tracking, and scoring from first touch to move-in
Tour Scheduling -- Automated booking and calendar integration
Review Response AI -- Automated responses to Google and Yelp reviews
Directory Listing -- Verified listing on ultimateseniorresource.com
SEO, Content, Paid Advertising, and Social Media Management (Growth Engine and Engage AI OS tiers)
Custom AI-Generated CRM and Workflows (Engage AI OS tier)

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice. Significant changes to paid features will be communicated at least 30 days in advance.

3. Account Registration and Security

To use the Service, you must create an account and provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Service.

4. Subscription Plans and Pricing

USR Engage offers the following subscription tiers, billed monthly per community:

Platform ($297/month per community) -- AI voice agent, chatbot, email automation, CRM, lead scoring, analytics, directory listing, and dedicated onboarding
Growth Engine ($997/month per community) -- Everything in Platform plus full SEO management, GEO optimization, AI content marketing, social media management, paid advertising, custom website design, competitor intelligence, and a dedicated AI agent team
Engage AI OS ($1,997/month per community) -- Everything in Growth Engine plus AI-generated custom CRM, custom workflows and automations, custom dashboards, system integrations, and continuous AI optimization

All prices are in U.S. dollars. Prices are subject to change with 30 days' written notice. Any price changes will take effect at the start of your next billing cycle following the notice period.

5. Free Trial

We offer a 14-day free trial for the Platform and Growth Engine tiers. No credit card is required to start a trial. At the end of your trial, you must select a paid plan to continue using the Service. If you do not subscribe, your access will be suspended, and your data will be retained for 30 days before deletion.

6. Payment Terms

Subscription fees are billed monthly in advance. Payment is processed through Stripe, our third-party payment processor. By subscribing, you authorize us to charge your selected payment method on a recurring monthly basis. You are responsible for providing valid and current payment information.

If a payment fails, we will notify you and provide a 7-day grace period to update your payment method. If payment is not received within the grace period, your account may be suspended.

7. Cancellation and Refunds

You may cancel your subscription at any time. There are no cancellation fees and no long-term contracts. Upon cancellation, you will retain access to the Service through the end of your current billing period. We do not provide refunds for partial months of service.

8. Your Data and Content

You retain ownership of all data, content, and materials you provide through the Service ("Customer Data"), including lead information, community details, images, and communications. We do not sell Customer Data to third parties.

You grant us a limited, non-exclusive license to use Customer Data solely for the purpose of providing and improving the Service. This includes using your community information to configure AI agents, generate marketing content, and optimize lead management workflows.

Upon termination of your account, we will provide a data export upon request. Customer Data will be deleted from our systems within 30 days after the retention period, unless required by law to retain it longer.

9. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
Submit false, misleading, or deceptive information about your community
Interfere with or disrupt the Service, servers, or networks connected to the Service
Attempt to gain unauthorized access to other accounts, computer systems, or networks
Use the Service to send unsolicited communications (spam) in violation of applicable anti-spam laws
Resell, sublicense, or provide access to the Service to third parties without our written consent
Reverse-engineer, decompile, or attempt to extract the source code of the Service
Use the AI agents to provide medical advice, diagnose conditions, or make healthcare decisions

10. AI-Generated Content Disclaimer

The Service uses artificial intelligence to generate marketing content, respond to inquiries, and manage communications on your behalf. While we strive for accuracy and quality, AI-generated content may occasionally contain errors or inaccuracies. You are responsible for reviewing AI-generated content before it is published or distributed, especially content related to pricing, care levels, licensing, and regulatory compliance.

AI voice and chat agents are designed to provide general information about your community and do not provide medical advice, legal guidance, or guaranteed commitments on your behalf.

11. Intellectual Property

The Service, including its software, design, features, documentation, and all related intellectual property, is owned by BattleBridge, LLC. These Terms do not grant you any ownership rights in the Service. Content created by USR Engage on your behalf (blog posts, ad copy, social media posts) is licensed to you for use in connection with your community's marketing. The underlying AI models, algorithms, and platform technology remain our property.

12. Third-Party Services

The Service integrates with third-party services including, but not limited to:

Stripe -- Payment processing
Google Analytics (GA4) -- Website analytics and conversion tracking
Google Ads and Meta (Facebook/Instagram) -- Paid advertising campaigns
Twilio -- Voice and messaging infrastructure
Google Business Profile -- Review management and local SEO

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

13. Limitation of Liability

To the maximum extent permitted by applicable law, USR Engage and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from or related to your use of or inability to use the Service.

Our total aggregate liability for any claims arising from or related to these Terms or the Service shall not exceed the total fees paid by you to us during the twelve (12) months preceding the event giving rise to the claim.

We do not guarantee any specific results, including but not limited to lead volume, occupancy rates, move-in numbers, or revenue increases. Marketing outcomes depend on many factors outside our control, including market conditions, community quality, pricing, and competition.

14. Indemnification

You agree to indemnify, defend, and hold harmless USR Engage and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any applicable law or regulation, or (d) any content or data you provide through the Service.

15. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict-of-laws principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in Clark County, Nevada, in accordance with the rules of the American Arbitration Association. Each party shall bear its own costs of arbitration.

17. Modifications to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and USR Engage regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
